Imagine a blockbuster IPO opens and you, like lakhs of other Indians, excitedly apply through your broker app, blocking ₹2 lakh via UPI and dreaming about listing gains, and 3 days later, you check the status and see “Zero shares allotted” and your money gets refunded, but the frustration hits hard.
You hear these stories often from friends, family, and across India, countless times, making the IPO “lottery” feel rigged against the common investor, especially when retail categories get oversubscribed 50x, 100x or even 850x, like in some 2026 SME IPOs.
The good news is that IPO allotment in India is not random luck but follows clear SEBI rules and a transparent process, and there are legal and proven ways to dramatically improve your chances.
In this guide, you’ll learn how IPO allotment works, the latest SEBI rules, the full step-by-step process, and 7 practical strategies smart retail investors actually use to beat the odds.
IPO allotment in India is a SEBI-regulated process where shares are distributed to investors after an IPO closes. If an IPO is oversubscribed, retail investors are allotted shares through a computerised lottery system, where each valid application has an equal chance of receiving at least one lot.
SEBI created this system to ensure fairness, and the process is entirely computerised, transparent and designed to protect small retail investors.
Cut-off price option: Retail investors can bid at “cut-off” and get the final issue price.
Category | Who Qualifies | Reservation | Application Limit | Allotment Method | Chance Level |
Retail (RII) | Individuals, HUFs, NRIs (< ₹2 lakh) | 35% | Up to ₹2 lakh | Lottery (1 lot per successful applicant) | High volume, lottery-based |
Small NII (sNII) | Applications ₹2 lakh to ₹10 lakh | ~5% (1/3 of NII) | ₹2L-₹10L | Lottery (to allot 1 min NII lot), then proportionate | Medium |
Big NII (bNII) | Applications > ₹10 lakh | ~10% (2/3 of NII) | > ₹10 lakh | Lottery (to allot 1 min NII lot), then proportionate | Lower (more capital needed) |
QIB | Mutual funds, banks, FIIs, etc. | Up to 50% | No upper limit | Book-building (anchor first) | Institutional priority |
Tip: Check your status on the evening of T+1 or the early morning of T+2. By the time you wake up on the second day after the IPO closes, the shares are already being credited for the 10:00 AM listing.
Bonus: Create a family checklist before every IPO.
If you avoid these, you’re already ahead of 70% of applicants:
Stop treating IPOs like a lottery and start treating them like a skill-based game you can actually beat. The 7 proven strategies in this guide, especially the powerful family multiple-account method, have already turned thousands of regular investors into consistent winners.

Yes, it is 100% legal and widely used. SEBI allows every individual with a unique PAN and their own demat account to apply independently. The only requirement is that each application must be genuine, i.e., the funds belong to that family member and the account is operated by them. As long as you don’t use the same PAN or create fictitious accounts, there is no restriction on the number of family applications (parents, spouse, siblings, adult children, HUF, etc.).
The registrar uses a certified random-number-generation algorithm on the BSE/NSE systems. Every valid retail application (after technical rejection checks) gets an equal and independent chance. Application time does not affect selection probability; the “apply early” tip only helps avoid last-minute UPI or technical failures. No human being or broker can influence the outcome.
No. The category is automatically decided by the application value per PAN.
Only the amount corresponding to the shares actually allotted is debited. The rest is unblocked/refunded automatically within 1–2 working days after the basis of allotment is finalised (usually T+1). You do not lose any interest on the blocked amount during the short blocking period.
Apply for the quota you are eligible for, and it is a completely separate, reserved pool with far lower oversubscription. Your retail application (if you also make one) is not affected. Many companies allow existing shareholders or employees to apply in their dedicated quota in addition to retail, giving you two independent shots at allotment.
No. SEBI rules make the process fully computerised and auditable. The company has zero discretion over retail and non-institutional allotments (except the anchor investor portion for QIBs, which is disclosed before the IPO opens). Any attempt to manipulate would attract heavy penalties.
Allotment itself triggers no tax. Tax only applies when you sell the shares:
If the IPO is postponed or withdrawn, your UPI mandate is automatically cancelled, and funds are unblocked with no penalty. If the price band is revised, you usually get a chance to revise or confirm your bid before the new closing date. Your original application is not cancelled automatically.
