Partnership firms in India are increasingly looking at equity markets, bonds, and mutual funds as a way to put idle business capital to work. But unlike opening a personal demat account, which you can do online in 15 minutes, opening one for a partnership firm takes preparation, the right documents, and a clear understanding of how the process works.
This guide walks you through every step, from eligibility to activation, in plain terms. Whether you run a small general partnership or a registered LLP, by the end of this article you will know exactly what to do.
A demat account for a partnership firm is an electronic account that holds all the securities, shares, bonds, ETFs, government securities, and mutual fund units, owned by the firm as a business entity.
Just as your personal demat account holds your individual investments, this account holds investments that belong to the firm collectively. It is registered under the firm’s PAN, linked to the firm’s current bank account, and operates through a SEBI-registered Depository Participant (DP) connected to either NSDL or CDSL.
This account is separate from the personal demat accounts of the individual partners. Any securities bought through the firm’s trading account go into this account, and any proceeds from selling those securities go directly to the firm’s bank account, not to any individual partner.
This is the first question you need to answer because the account structure depends on which type of firm you have.
Feature | General Partnership Firm | LLP |
Governed by | Indian Partnership Act, 1932 | LLP Act, 2008 |
Registration | Optional | Mandatory with MCA |
Separate legal entity | No | Yes |
Demat account held in | Joint names of authorised partners | Directly in LLP’s name |
Trading account | Can be in the firm’s name | In the LLP’s name |
Partner liability | Unlimited | Limited to contribution |
Best suited for | Family businesses, traditional firms | Professional firms, startups |
A general partnership does not have a separate legal identity. So the demat account is opened in the joint names of the authorised partners, but all investments legally belong to the firm. An LLP, on the other hand, is a separate legal entity, so both the demat and trading accounts can be opened directly in the LLP’s name.
Before you approach a DP, make sure your firm meets these basic conditions:
If your deed does not have an investment clause, get it amended with a supplementary deed before you approach a DP. Skipping this step is one of the most common reasons for rejection.
The document list for a partnership firm is longer than for an individual. It works at two levels, firm-level documents and partner-level documents. Keep originals ready for verification and self-attested copies for submission.
Firm-Level Documents
Document | Why It Is Needed |
PAN card of the firm | Core KYC identity link for the account |
Notarised copy of the partnership deed | Confirms firm structure, partner names, and authorised signatories |
Certificate of Registration (if registered with RoF) | Proof of legal existence under the Partnership Act |
Address proof of the firm — utility bill or bank statement not older than 3 months | Residential KYC of the firm’s place of business |
Cancelled cheque of the firm’s current bank account | Links the demat account to the firm’s settlement bank account |
GST Registration Certificate (if applicable) | Used as additional entity verification by many DPs |
Audited balance sheet or net worth certificate (last 1–2 financial years) | Income proof, especially required if you want to trade in F&O |
Document | Why It Is Needed |
PAN card of each authorised partner | Individual KYC |
Aadhaar card, passport, or voter ID | Identity and address proof |
Passport-size photographs | Required by the DP during IPV |
Specimen signatures | For account mandate and instruction authorisation |
All document copies must be self-attested by the authorised partner. Unattested copies are returned, which delays the entire process.
Charges for partnership firm accounts are higher than individual accounts at most DPs, this is standard across the industry because the compliance, documentation, and maintenance workload is heavier for non-individual accounts.
Here is Alice Blue’s charge structure for partnership firm demat accounts:
Charge Type | Alice Blue Charges |
Account Opening Charge | ₹0 (one-time) |
AMC — Equity Demat Account | ₹1,000 + 18% GST = ₹1,180 per year |
AMC — MFD (Mutual Fund Distributor) Account | ₹1,000 + 18% GST = ₹1,180 per year |
Debit Transaction Charge (Sell) | 0.04% of transaction value (min ₹20) |
Pledge Creation | 0.04% of transaction value (min ₹40) |
Pledge Invocation | 0.04% of transaction value (min ₹40) |
Select a SEBI-registered broker or bank that accepts partnership firm accounts. Check their AMC, transaction charges, platform quality, and whether they provide dedicated RM support for non-individual accounts. Alice Blue is a SEBI-registered DP with specific support for partnership, LLP, and HUF account openings.
Collect the partnership firm-specific account opening form from the DP — this is different from the individual account form. Fill in the firm’s exact registered name (as it appears on the PAN card), the firm’s address, PAN, and all authorised partner details. A single name mismatch between the PAN card and the form is enough to delay or reject the application.
Arrange all firm-level and partner-level documents as listed above. Self-attest every copy. If you are submitting physically, bring originals for the DP to verify on the spot. Most DPs do not accept fully digital submissions for partnership accounts and require physical documents or RM-assisted submission.
All authorised partners must complete KYC individually. The DP will conduct IPV, either at a branch or via a video call, where each partner must appear with original documents. This step cannot be skipped or delegated.
You will receive a DP agreement covering all terms, charges, and account operating rules. Read it carefully, pay attention to clauses on pledging, off-market transfer fees, and account freeze conditions. Once you sign, the DP will guide you through setting up the TPIN, which authorises demat debit instructions and is required every time securities are moved or pledged.
After document verification and KYC completion:
You will receive your Beneficial Owner ID (BO ID), login credentials for the trading platform, and a welcome communication confirming the account is live.
Once the demat account is active, it gets linked to your trading account. All buy and sell orders go through the trading account, and securities are held in the demat account. All fund movements happen only through the firm’s mapped current bank account.
Opening a demat account for a partnership firm takes more groundwork than an individual account, but the process is clear once you understand what is needed. Get the partnership deed checked for an investment clause, prepare firm-level and partner-level documents in one go, complete KYC for all authorised partners together, and choose a DP like Alice Blue that has dedicated support for non-individual accounts. Once the account is live, your firm has a clean, auditable, and tax-efficient way to invest its capital in the market.
If you’re planning to start investing, you can open a demat account with Alice Blue and get started.
Most DPs do not offer a fully digital process for partnership firm accounts. The volume of documents required and the need for In-Person Verification for all authorised partners means the process is largely offline or handled with the help of a Relationship Manager.
For a general partnership (which has no separate legal identity), the demat account is opened in the joint names of the authorised partners. The investments, however, belong to the firm, not to those partners personally.
At the firm level: PAN card, notarised partnership deed, registration certificate (if registered), address proof, cancelled cheque, GST certificate (if applicable), and audited financials. At the partner level: PAN card, address proof (Aadhaar/passport/voter ID), photographs, and specimen signatures for all authorised partners.
For eKYC-assisted submissions, expect 1 to 3 working days after document verification. For fully offline, physical submissions, the typical timeline is 5 to 7 working days.
No. The firm’s demat and trading account is exclusively for firm-level investments. Partners who want to invest personally must open separate individual demat accounts.
No. Both registered and unregistered partnership firms can open demat accounts. However, a registered firm’s Certificate of Registration from the Registrar of Firms strengthens the application and speeds up verification.
Capital gains are taxed at the firm level under the Income Tax Act, they are not passed through or split between individual partners. Short-term gains (held under 12 months for equities) are taxed at the applicable STCG rate, and long-term gains follow LTCG rules.
A TPIN (Transaction PIN) is a security PIN issued by the depository (NSDL/CDSL) that authorises demat debit instructions, such as selling shares, transferring securities off-market, or pledging holdings for margin. Without TPIN authorisation, these transactions cannot be executed, protecting the account from unauthorised movement of securities.
